Magisterium AI Affiliate Program Terms of Service

These Affiliate Program Terms of Service (hereafter referred to as the "Terms") govern participation in the Magisterium AI Affiliate / Revenue Sharing Program (hereafter referred to as the "Program") operated by Longbeard Inc. ("Company," "we," "us," or "our").
By applying to or participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Terms.
1. Program Overview
The Program enables Affiliates to promote the Company's products and services and receive commissions on qualifying subscription purchases made through unique referral links, codes, or other tracking mechanisms provided by the Company ("Referral Tools").
Participation in the Program is subject to approval by the Company, which may be granted or withheld in the Company's sole discretion.
2. Affiliate Benefits
Subject to these Terms:
- Referred users may receive a discount on subscriptions (currently up to 25%, subject to change); and
- Affiliates may receive a commission on qualifying subscription revenue (currently 10%, as determined by the Company in its sole discretion from time to time).
The Company reserves the right to modify pricing, discounts, commission structures, and eligibility criteria at any time.
3. No Endorsement or Agency
Participation in the Program does not constitute endorsement, sponsorship, or approval by the Company of the Affiliate or its content, views, or activities.
Affiliates are independent contractors and have no authority to bind or represent the Company. Nothing in these Terms creates any partnership, joint venture, or agency relationship. The Company does not endorse or assume responsibility for the views, beliefs, or content of any Affiliate.
4. Affiliate Obligations
You agree to:
- Promote the Company's products and services in a lawful, truthful, and non-misleading manner;
- Comply with all applicable laws, regulations, and platform rules;
- Avoid any statements that are inaccurate, deceptive, or unsubstantiated;
- Use only approved Referral Tools and comply with any brand guidelines provided.
You represent and warrant that:
- Your activities are lawful and do not infringe any third-party rights; and
- You will not engage in conduct that could reasonably harm the Company's reputation or goodwill.
- Your content and activities do not materially conflict with the mission or values the Company represents.
5. Mission and Alignment
The Company operates as a Catholic organization and seeks to promote products and services consistent with the teachings and values of the Catholic Church.
Affiliates acknowledge and agree that participation in the Program requires conduct that is respectful of and not contrary to the mission, values, and principles the Company seeks to uphold.
Without limitation, Affiliates must not:
- Promote content or engage in conduct that is materially inconsistent with the teachings or moral framework the Company represents;
- Misrepresent, undermine, or conflict with the Company's mission, purpose, or positioning;
- Engage in conduct that brings or is reasonably likely to bring the Company into disrepute, scandal, or ridicule;
- Use the Program in a manner that is unlawful, deceptive, or inconsistent with applicable ethical standards.
The Company retains the right, in its sole and absolute discretion, to determine whether any conduct or content is inconsistent with its mission, values, or principles.
6. Commissions and Payments
6.1. Eligibility: Commissions apply only to valid, completed subscription purchases made through properly tracked Referral Tools.
6.2. Commissions:
- Are calculated based on net revenue actually received by the Company;
- May be adjusted for refunds, chargebacks, cancellations, or fraud;
- Are subject to verification and audit.
6.3. Payment Terms:
- Payments are made monthly, on a net-30 basis following the end of the applicable month;
- A minimum payout threshold (e.g., USD $100) may apply;
- Affiliates must provide valid payment details and any required tax documentation.
- Commissions are not earned until paid and remain subject to the Company's verification, approval, and continued compliance with these Terms.
The Company reserves the right to withhold or offset commissions where reasonably necessary, including in cases of suspected fraud or breach.
7. Termination
7.1. Termination by Company: The Company may suspend or terminate your participation in the Program at any time, with or without cause, in its sole discretion.
7.1.1. This includes, without limitation, where the Company determines that the Affiliate:
- Has breached these Terms;
- Has engaged in conduct the Company determines to be inconsistent with its Catholic mission, values, or principles;
- Has acted in a manner that may harm the Company's reputation;
- Has engaged in misleading, abusive, or unlawful promotional practices.
7.2. Termination by Affiliate: You may terminate your participation at any time by ceasing use of the Program and notifying the Company.
7.3. Effect of Termination: Upon termination:
- Your right to participate in the Program ceases immediately;
- You must discontinue use of all Referral Tools and Company materials;
- You will not be entitled to future commissions;
- The Company may withhold unpaid commissions where termination arises from breach, misconduct, or misuse of the Program.
8. Intellectual Property
All Company trademarks, logos, content, and materials remain the exclusive property of the Company.
Affiliates are granted a limited, revocable, non-exclusive, non-transferable license to use approved marketing materials solely for participation in the Program.
9. Modifications to the Program
The Company may modify, suspend, or discontinue the Program (in whole or in part) at any time.
The Company may update these Terms from time to time. Continued participation constitutes acceptance of the updated Terms.
10. Disclaimers
The Program is provided on an "as is" and "as available" basis.
The Company makes no guarantees regarding:
- The availability or performance of the Program;
- The level of commissions or earnings;
- The continued operation of the Program.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Company shall not be liable for any indirect, incidental, consequential, or special damages;
- The Company's total liability arising out of or relating to the Program shall not exceed the total commissions paid to the Affiliate in the preceding twelve (12) months.
12. Eligibility
You must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding agreement;
- Comply with all applicable laws and regulations.
The Company may restrict participation in certain jurisdictions at its discretion.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its rules.
- Arbitration shall take place in Texas;
- The parties waive any right to a jury trial;
- The parties waive any right to participate in class actions or class arbitrations.
14. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Program and supersede all prior or contemporaneous agreements, communications, or understandings.
