This Catholic Intelligence / Institutional Dashboard Addendum (hereafter referred to as the “Addendum”) supplements the Magisterium AI Terms of Service (hereafter referred to as the “Terms”) and applies to any access to or use of Catholic Intelligence, institutional dashboards, diocesan dashboards, parish dashboards, parish reporting tools, directory features, institutional analytics, Vulgate-connected document tools, or related services made available by Longbeard Inc. (hereafter referred to as “Longbeard,” “we,” “us,” or “our”) (collectively, the “Institutional Services”).

Capitalized terms not defined in this Addendum have the meanings given to them in the Terms. If there is a conflict between this Addendum and the Terms in relation to the Institutional Services, this Addendum will control solely with respect to the Institutional Services.

By accessing or using the Institutional Services, or by accepting this Addendum on behalf of an Institutional Customer, you agree to this Addendum. If you do not agree to this Addendum, you may not access or use the Institutional Services.

1. Relationship to the Terms

The Terms govern the general use of Magisterium AI and related Longbeard services. This Addendum applies specifically to the Institutional Services.

Certain Institutional Services may also be subject to an order form, statement of work, subscription agreement, pilot agreement, data processing addendum, security exhibit, or other written agreement. If there is a conflict between this Addendum and a written agreement signed by Longbeard and the relevant Institutional Customer, the signed written agreement will control to the extent of the conflict.

Nothing in this Addendum limits Longbeard’s rights, disclaimers, limitations of liability, indemnities, acceptable use restrictions, payment rights, suspension rights, or remedies under the Terms, except to the extent expressly modified by this Addendum.

2. Institutional Services

The Institutional Services may include tools and functionality designed for dioceses, parishes, religious institutes, apostolates, ministries, non-profit organizations, or other institutional customers.

The Institutional Services may include, without limitation:

Diocesan, parish, ministry, or organizational dashboards;
Institutional onboarding and account affiliation tools;
Administrative user management;
Role-based permissions for diocesan, parish, ministry, staff, clergy, volunteer, contractor, and lay users;
Annual, quarterly, or other parish or institutional reporting tools;
Report templates, due dates, submission workflows, report freezing, report locking, PDF exports, changelogs, and historical comparisons;
Parish, ministry, clergy, staff, volunteer, office, department, and organizational directories;
Mass times, ministry information, sacramental schedules, operational, geographic, demographic, financial, administrative, and statistical data fields;
Maps, parish boundaries, diocesan boundaries, service areas, geographic overlays, or other geographic data;
Institutional analytics, including usage trends, engagement, key topics, representative questions, sentiment indicators, search keywords, training keywords, and other aggregated insights;
Vulgate-connected document repositories, document dashboards, document search, document analysis, and document question-and-answer functionality;
AI-enabled analysis, summaries, insights, recommendations, or chat features connected to institutional data, documents, reports, dashboards, directories, or records; and
Pilot, beta, preview, prototype, demonstration, or early-access functionality.

We may update, expand, modify, restrict, suspend, replace, or discontinue any Institutional Services from time to time.

3. Definitions

For purposes of this Addendum:

“Institutional Customer” means the diocese, parish, religious institute, apostolate, ministry, non-profit organization, company, or other entity that subscribes to, purchases, receives access to, configures, or administers the Institutional Services.

“Institutional Administrator” means a user authorized by an Institutional Customer to administer, configure, manage, or access administrative features of the Institutional Services.

“Authorized User” means any user invited, approved, provisioned, affiliated, assigned, imported, or otherwise permitted to access the Institutional Services, including diocesan staff, parish staff, clergy, personnel, ministry personnel, employees, contractors, volunteers, or lay members.

“Institutional Data” means data, content, documents, reports, records, directory information, forms, submissions, uploads, settings, configurations, statistics, analytics, outputs, metadata, or other materials submitted to, uploaded to, generated through, or made available within the Institutional Services by or on behalf of an Institutional Customer or Authorized User.

“Account Administration Data” means account-level information used to administer access to the Institutional Services, including names, email addresses, institutional affiliation, account status, invitation status, role, permission level, parish assignment, ministry assignment, and similar access-management information.

“Private Chat Data” means raw prompts, private chat history, individual AI inputs, individual AI outputs, and other user-specific AI interactions that are not intended to be visible to Institutional Administrators.

“Aggregated Institutional Insights” means high-level analytics, summaries, statistics, or trends derived from use of the Platform or Institutional Services that are aggregated and designed not to identify an individual user.

4. Authority to Accept and Administer

Any person accepting this Addendum, configuring an institutional environment, designating Institutional Administrators, uploading Institutional Data, connecting documents, or managing users on behalf of an Institutional Customer represents and warrants that they have authority to bind and administer that Institutional Customer.

The Institutional Customer is responsible for determining who may access its Institutional Services environment and for ensuring that its Institutional Administrators and Authorized Users have appropriate authority to access and use the relevant Institutional Data.

The Institutional Customer is responsible for all acts and omissions of its Institutional Administrators and Authorized Users in connection with the Institutional Services.

5. Institutional Account Affiliation and Onboarding

The Institutional Services may allow users to affiliate their accounts with an Institutional Customer, including by:

Using an institutional email domain;
Accepting an invitation;
Using an access code;
Selecting an affiliation in account settings;
Being added by an Institutional Administrator;
Being imported by CSV or similar upload;
Being associated with a parish, ministry, office, department, or other organizational unit; or
Otherwise being associated with an Institutional Customer.

For account administration purposes, Institutional Administrators may be able to view and manage Account Administration Data about Authorized Users affiliated with their institution.

For clarity, Account Administration Data is separate from Private Chat Data. Unless expressly stated otherwise in the Terms, Privacy Policy, this Addendum, a Data Processing Addendum, an order form, or another written agreement, Institutional Administrators will not receive access to an Authorized User’s Private Chat Data merely because that user is affiliated with an institution.

Institutional Administrators may not access, impersonate, or use an Authorized User’s private account, private chat history, raw prompts, or individual outputs unless expressly enabled by the user, required for support with appropriate authorization, permitted by applicable law, or expressly permitted under a written agreement with Longbeard.

6. Role-Based Access and Permissions

The Institutional Services may include role-based access controls. Different categories of users may have different levels of access depending on their role, permissions, institutional assignment, and configuration by the Institutional Customer.

For example:

Diocesan administrators may access diocesan-level dashboards, parish-level reporting status, institutional analytics, directories, reports, exports, settings, and permission tools;
Parish administrators may access parish-specific dashboards, parish reports, Mass times, ministries, local directory information, parish-specific data, and parish-level exports;
Ministry, or organizational administrators may access data and reports specific to their ministry, office, department, or organization;
Lay members may access only those sections, documents, forms, reports, dashboards, or features made available to them by the relevant Institutional Customer or by Longbeard;
Longbeard personnel may access Institutional Data as necessary to provide, maintain, secure, support, troubleshoot, improve, audit, or enforce the Institutional Services, subject to the Terms, Privacy Policy, this Addendum, and any applicable written agreement.

The Institutional Customer is responsible for configuring, reviewing, and monitoring permissions within its environment and for ensuring that access rights are appropriate, lawful, and kept up to date.

Longbeard is not responsible for unauthorized access caused by the Institutional Customer’s incorrect configuration of permissions, failure to remove users, improper sharing of credentials, or failure to maintain appropriate internal access controls.

7. Institutional Data Ownership

As between Longbeard and the Institutional Customer, the Institutional Customer retains all rights, title, and interest in and to the Institutional Data it submits, uploads, provides, connects, or authorizes for use within the Institutional Services.

Longbeard does not claim ownership of Institutional Data.

The Institutional Customer grants Longbeard a limited, non-exclusive, worldwide license to host, store, process, transmit, display, reproduce, structure, format, index, embed, analyze, summarize, and otherwise use Institutional Data solely as necessary to:

Provide, operate, maintain, secure, and support the Institutional Services;
Generate dashboards, reports, summaries, analytics, charts, search results, AI-assisted outputs, and document Q&A functionality;
Enable role-based access and permissions;
Troubleshoot, audit, test, monitor, and improve service performance, functionality, and security;
Prevent fraud, abuse, unauthorized access, and security incidents;
Comply with applicable law;
Enforce the Terms, this Addendum, applicable order forms, and applicable policies; and
Perform any other purpose expressly authorized by the Institutional Customer or applicable agreement.

8. Customer Responsibility for Institutional Data

The Institutional Customer is responsible for:

Ensuring that it has all rights, permissions, notices, consents, legal bases, and authority necessary to submit, upload, disclose, connect, or otherwise make Institutional Data available through the Institutional Services;
Ensuring that Institutional Data is accurate, lawful, appropriate, and not misleading;
Determining whether Institutional Data includes personal information, sensitive personal information, special category data, religious affiliation data, children’s data, safeguarding information, confidential Catholic information, employment information, financial information, or other restricted data;
Determining which users should have access to which Institutional Data;
Configuring permissions and access levels appropriately;
Ensuring that Institutional Administrators and Authorized Users use the Institutional Services lawfully and responsibly;
Ensuring that sensitive, confidential, personal, Catholic, sacramental, financial, employment, safeguarding, or other restricted information is uploaded only where appropriate and lawful;
Reviewing AI-generated outputs, summaries, reports, insights, recommendations, and analyses before relying on them;
Complying with all applicable civil, privacy, employment, safeguarding, financial, tax, regulatory, canonical, ecclesial, Catholic, and confidentiality obligations applicable to its use of the Institutional Services; and
Maintaining its own records, approvals, internal policies, review processes, and professional oversight.

The Institutional Customer must not upload or submit any Institutional Data that it is not authorized to provide to Longbeard or make available through the Institutional Services.

9. Sensitive, Catholic, Safeguarding, and Sacramental Information

The Institutional Services are not designed for, and must not be used to record, upload, process, summarize, analyze, or store information subject to the sacramental seal of confession, internal forum confidentiality, or equivalent highly confidential Catholic obligations.

Unless expressly agreed in writing, the Institutional Services are not intended to be used as the official system of record for:

Safeguarding cases;
Confession-related information;
Internal forum matters;
Spiritual direction records;
Privileged legal advice;
Medical records;
Employment disciplinary records;
Child protection investigations;
Highly confidential Catholic-care records; or
Other highly sensitive records requiring specialized legal, ecclesial, or safeguarding controls.

Institutional Customers and Authorized Users must exercise care before uploading confidential, sensitive, Catholic, sacramental, safeguarding, employment, financial, health, children’s, or special category personal information.

Institutional Customers must not use the Institutional Services in a way that violates applicable confidentiality obligations, safeguarding obligations, data protection laws, employment laws, ecclesial policies, canon law obligations, or other applicable duties.

10. Parish and Institutional Reporting Tools

The Institutional Services may allow Institutional Customers and Authorized Users to create, customize, distribute, complete, submit, review, edit, freeze, lock, export, and analyze reports, including parish annual reports or other institutional reports.

Reporting functionality may include:

Editable report templates;
Required and optional fields;
Submission deadlines;
Report status tracking;
Parish, ministry, office, department, or organizational comparisons;
Year-on-year comparisons;
PDF exports;
CSV exports;
Deck exports;
Changelogs;
Administrator review and editing;
Report locking or freezing;
Data visualization; and
AI-assisted summaries or insights.

The Institutional Customer is responsible for the content, accuracy, approval, submission, interpretation, and use of its reports.

Longbeard does not independently verify the truth, completeness, legality, Catholic accuracy, financial accuracy, operational accuracy, canonical accuracy, or regulatory sufficiency of Institutional Data submitted through reporting tools.

Any report generated through the Institutional Services is provided for informational, administrative, planning, and operational support purposes only and does not replace institutional review, professional advice, official approval, audit, canonical process, financial review, safeguarding review, or legal review.

11. Directories, Ministries, Mass Times, and Organizational Information

The Institutional Services may include directory functionality for clergy, staff, parishes, ministries, apostolates, departments, offices, volunteers, Mass times, sacramental schedules, or other institutional information.

The Institutional Customer is responsible for ensuring that any personal information included in a directory is collected, uploaded, displayed, shared, maintained, corrected, and deleted lawfully and appropriately.

Unless otherwise agreed in writing, Longbeard is not responsible for verifying directory information and does not guarantee that any directory, Mass time, staff listing, clergy listing, ministry listing, office listing, or institutional record is accurate, complete, current, or suitable for any particular purpose.

12. Maps, Boundaries, and Geographic Data

The Institutional Services may include maps, diocesan boundaries, parish boundaries, service areas, geographic visualizations, demographic overlays, or related geographic data.

Maps and boundaries may be based on information provided by Institutional Customers, public sources, third-party data, Longbeard-generated data, or Longbeard-assisted mapping processes.

Geographic data is provided for informational, administrative, planning, and dashboard purposes only. Unless expressly agreed in writing, it must not be treated as an official canonical, civil, legal, property, tax, regulatory, jurisdictional, or boundary determination.

Institutional Customers are responsible for reviewing and validating geographic data before relying on it.

13. Institutional Analytics and Aggregate Insights

The Institutional Services may generate analytics, reports, summaries, charts, exports, dashboards, or other insights regarding institutional usage and engagement.

These may include, without limitation:

Number of users;
Active users;
Prompt volumes;
Engagement trends;
Common topics;
Training keywords;
Search keywords;
Sentiment indicators;
Representative or illustrative questions;
Usage by time period;
Comparisons across parishes, ministries, offices, departments, or other organizational units;
Financial or operational snapshots where provided by the Institutional Customer;
PDF exports;
CSV exports; and
Deck-style exports.

Where analytics are derived from individual user chat activity or usage of Magisterium AI, Longbeard will apply safeguards consistent with the Terms and Privacy Policy. The current Privacy Policy already states that institutional insights are anonymized and aggregated, do not include raw prompts or identifiable user data, and are only generated where sufficient participation exists to prevent identification. This Addendum preserves that principle while separately allowing account administration and institutional reporting functionality as described in this Addendum.

For clarity:

Institutional Customers may receive Aggregated Institutional Insights where permitted by the Terms, Privacy Policy, this Addendum, and applicable law.
Institutional Customers will not receive raw prompts, private chat histories, individual user inputs, individual user outputs, or identifiable user-level AI activity solely through institutional analytics.
Representative or illustrative questions shown in institutional reports will not be verbatim user prompts and will be generated, generalized, or transformed to avoid revealing any individual user’s identity, personal circumstances, or specific confidential inquiry.
Longbeard may apply minimum participation thresholds, suppression rules, filtering limits, aggregation controls, segmentation restrictions, or other safeguards to reduce re-identification risk.
Certain reports, charts, exports, filters, or comparisons may be unavailable, limited, suppressed, delayed, or modified where Longbeard reasonably determines that disclosure could identify an individual or small group.
Institutional Customers and Authorized Users must not attempt to re-identify individuals from Aggregated Institutional Insights.

14. Account Administration Data versus Institutional Aggregate Reporting

The Terms provide that institutional aggregate reporting will not include raw prompts, individual inputs, or account-level data. This remains true for Aggregated Institutional Insights derived from individual AI usage.

However, the Institutional Services may separately provide Institutional Administrators with Account Administration Data for legitimate account management, onboarding, permissioning, billing, access control, institutional affiliation, and support purposes.

For clarity:

Account Administration Data may be visible to Institutional Administrators where necessary to manage users and institutional access.
Private Chat Data will not be shared with Institutional Administrators merely because a user is affiliated with an institution.
Aggregated Institutional Insights will not include raw prompts, individual inputs, private chat histories, or identifiable user-level AI activity.
The Institutional Customer is responsible for using Account Administration Data only for lawful, authorized, and appropriate institutional purposes.

15. Vulgate-Connected Documents and Document Q&A

The Institutional Services may allow Institutional Customers to connect documents, repositories, archives, publications, policies, reports, correspondence, Catholic letters, administrative records, or other materials made available through Vulgate or related Longbeard services.

Where Vulgate-connected functionality is enabled, the Institutional Services may allow Authorized Users to:

View documents or document metadata;
Search documents;
Ask questions about documents;
Generate AI-assisted summaries, extracts, comparisons, classifications, or responses;
Organize or analyze document collections;
Create embeddings or indexes to enable semantic search and document Q&A; and
Connect document insights with Magisterium AI or other Longbeard functionality.

The Institutional Customer is responsible for ensuring that it has all necessary rights, permissions, notices, consents, and authority to upload, connect, process, index, embed, search, display, summarize, or otherwise use documents through the Institutional Services.

Longbeard does not claim ownership of documents provided by an Institutional Customer. Longbeard may process such documents only as necessary to provide, maintain, secure, support, troubleshoot, and improve the relevant services, or as otherwise authorized by the Institutional Customer, applicable agreement, or law.

16. Use of Institutional Data for Model Training and Product Improvement

Longbeard may use Institutional Data to provide, maintain, secure, support, troubleshoot, and improve the Institutional Services.

Longbeard will not use Institutional Data or Vulgate-connected documents to train or fine-tune general-purpose AI models except with the Institutional Customer’s express written consent.

Longbeard may use anonymized and aggregated data derived from use of the Institutional Services to understand usage patterns, improve service performance, enhance safety, develop analytics, and improve product functionality, provided such data does not identify the Institutional Customer, Authorized Users, or individuals, and does not disclose confidential Institutional Data.

Nothing in this section limits Longbeard’s ability to use general learnings, know-how, ideas, methods, feedback, feature requests, error reports, performance information, security information, or other information that does not identify the Institutional Customer, Authorized Users, individuals, or confidential Institutional Data.

17. AI Outputs, Summaries, Recommendations, and Human Review

The Institutional Services may generate AI-assisted outputs, including summaries, reports, charts, recommendations, explanations, classifications, comparisons, Catholic insights, financial observations, engagement observations, directory assistance, map-related observations, document Q&A responses, and other generated materials.

AI-generated outputs may be inaccurate, incomplete, outdated, misleading, biased, or unsuitable for a particular purpose.

Institutional Customers and Authorized Users are responsible for reviewing, verifying, and exercising independent human judgment before relying on any output.

The Institutional Services do not provide legal, financial, accounting, canonical, theological, Catholic, safeguarding, employment, tax, medical, psychological, or other professional advice.

Institutional Customers and Authorized Users should consult appropriately qualified personnel before making decisions based on outputs generated by the Institutional Services.

The Institutional Services must not be used as the sole basis for decisions with legal, employment, safeguarding, disciplinary, Catholic, financial, canonical, sacramental, or similarly significant effects.

18. Children and Minors

Institutional Customers and Authorized Users must not submit personal information of children or minors through the Institutional Services unless they have all legally required authority, consents, notices, and safeguards to do so.

The Institutional Services are not intended for direct use by children under 13 or under the applicable age of digital consent in the relevant jurisdiction, unless expressly authorized in writing by Longbeard and implemented with appropriate safeguards.

Institutional Customers are responsible for complying with all applicable child privacy, safeguarding, educational, parish, youth ministry, and parental consent obligations.

19. Data Protection and Privacy

Longbeard’s collection, use, storage, and disclosure of personal information in connection with the Institutional Services is described in the Privacy Policy, as updated from time to time.

Depending on the circumstances, the Institutional Customer may act as a controller, responsible party, business, or equivalent legal role in relation to Institutional Data, and Longbeard may act as a processor, operator, service provider, or equivalent legal role.

Where required by applicable data protection law or agreed between the parties, Longbeard’s processing of personal information on behalf of an Institutional Customer will be governed by Longbeard’s Data Processing Addendum, which is incorporated by reference into the applicable agreement or order form.

The Institutional Customer is responsible for providing any legally required privacy notices to its personnel, clergy, staff, parish representatives, volunteers, contractors, lay members, or other data subjects whose personal information is submitted to or processed through the Institutional Services.

Longbeard may process personal information for purposes including:

Account creation and authentication;
User management and institutional affiliation;
Role-based permissions;
Dashboard functionality;
Reports and analytics;
Document search and document Q&A;
Customer support;
Security, abuse prevention, logging, auditing, and troubleshooting;
Service improvement, where permitted;
Legal compliance;
Enforcement of the Terms, this Addendum, order forms, and policies; and
Other purposes described in the Privacy Policy or applicable written agreement.

The Privacy Policy must be read together with this Addendum. The current Privacy Policy already covers AI chat data usage, third-party AI sharing, institutional reporting and affiliation, international transfers, security, breach notice, data controller information, retention, and data-access rights.

20. Security

Longbeard will implement reasonable technical and organizational measures designed to protect Institutional Data against unauthorized access, loss, misuse, alteration, or disclosure.

Such measures may include, as appropriate, encryption in transit, access controls, authentication, logging, monitoring, backups, vendor controls, least-privilege access practices, and security review processes.

The Institutional Customer is responsible for maintaining the security of its own systems, devices, credentials, administrators, Authorized Users, exports, downloads, integrations, local files, and permission settings.

Institutional Customers and Authorized Users must promptly notify Longbeard of any suspected unauthorized access, credential compromise, security incident, data breach, or misuse of the Institutional Services.

Longbeard is not responsible for unauthorized access, disclosure, loss, or misuse caused by the Institutional Customer’s systems, local devices, credential sharing, permission configuration, exported files, downloaded materials, third-party tools, or failure to follow reasonable security practices.

21. Exports, Downloads, and External Sharing

The Institutional Services may permit Institutional Customers or Authorized Users to export, download, print, copy, transmit, or share reports, PDFs, CSV files, charts, decks, directories, summaries, maps, or other materials.

Once Institutional Data or outputs are exported, downloaded, copied, or shared outside the Institutional Services by or on behalf of an Institutional Customer or Authorized User, the Institutional Customer is responsible for the use, storage, protection, onward disclosure, retention, and deletion of that material.

Longbeard is not responsible for exports, downloads, screenshots, copies, or onward disclosures made by Institutional Customers or Authorized Users.

22. Third-Party Services, AI Providers, and Subprocessors

The Institutional Services may use third-party hosting, infrastructure, analytics, payment, AI, model inference, embedding, storage, database, authentication, monitoring, communications, support, or other service providers.

Third-party AI providers may process prompts, document excerpts, search queries, embeddings, metadata, or other data as necessary to provide AI-enabled functionality. The Terms already state that the Platform may use third-party AI models and services, including providers, and that such providers may change as Longbeard updates and improves the Platform.

Longbeard may update its third-party providers and subprocessors from time to time. Additional information about provider categories, subprocessors, data processing, and international transfers may be provided in the Privacy Policy, a subprocessor page, a Data Processing Addendum, or other applicable documentation.

Institutional Customers acknowledge that third-party providers may process data in jurisdictions outside the Institutional Customer’s country or region, subject to the applicable Privacy Policy, Data Processing Addendum, and legal transfer mechanisms where required.

23. Retention, Return, and Deletion

Specific retention periods for Institutional Data, backups, logs, analytics, exports, and related records may be set out in an order form, Data Processing Addendum, retention schedule, or other written agreement.

Upon termination or expiry of an Institutional Customer’s access to the Institutional Services, Longbeard may make Institutional Data available for export or return for a reasonable period, unless prohibited by law, contract, security requirements, or technical limitations.

After such period, Longbeard may delete or disable access to Institutional Data in accordance with its standard retention practices, applicable agreements, and applicable law.

Longbeard may retain copies of Institutional Data to the extent required or permitted for legal compliance, dispute resolution, audit, security, backup, fraud prevention, enforcement of agreements, legitimate business purposes, or as otherwise permitted by law, subject to appropriate confidentiality and security measures.

Longbeard is not responsible for retaining Institutional Data after termination unless expressly agreed in writing.

24. Beta Features, Demos, Prototypes, and Roadmap Items

Certain Institutional Services may be provided as pilot, beta, preview, prototype, demonstration, experimental, or early-access features.

Such features may be incomplete, unstable, unavailable, inaccurate, or subject to material change.

Any demos, prototypes, screenshots, mockups, roadmap descriptions, or preview features are illustrative only and do not constitute a commitment to deliver any particular feature, functionality, integration, timeline, commercial result, or technical result.

Longbeard may modify, improve, restrict, suspend, or discontinue beta features at any time.

Unless expressly agreed otherwise in writing, beta features are provided “as is,” “as available,” and without any commitment that they will be made generally available.

25. Restrictions

Institutional Customers and Authorized Users must not:

Use the Institutional Services for unlawful, harmful, deceptive, abusive, discriminatory, exploitative, or unauthorized purposes;
Upload Institutional Data that they do not have the right to upload, disclose, connect, or process;
Attempt to access data, dashboards, reports, documents, accounts, or environments for which they are not authorized;
Bypass, disable, interfere with, or manipulate role-based access controls or security measures;
Use the Institutional Services to identify individual users from Aggregated Institutional Insights;
Use outputs to make automated decisions with legal, employment, safeguarding, disciplinary, Catholic, financial, canonical, or similarly significant effects without appropriate human review;
Upload malware, harmful code, malicious files, or unlawful content;
Scrape, extract, crawl, or bulk download data except as permitted by the Institutional Services or applicable agreement;
Use the Institutional Services to develop or improve a competing product, service, model, dataset, or analytics platform;
Misrepresent AI-generated outputs as human-generated where doing so would be misleading;
Use the Institutional Services in a way that infringes, misappropriates, or violates any person’s rights;
Use the Institutional Services in a way that could damage, disable, overburden, impair, disrupt, or compromise Longbeard’s systems, services, security, or reputation;
Upload information subject to the sacramental seal of confession, internal forum confidentiality, or equivalent highly confidential Catholic obligations;
Use the Institutional Services as the sole system of record for safeguarding, legal, medical, employment disciplinary, or highly sensitive Catholic matters unless expressly agreed in writing; or
Violate the Terms, this Addendum, the Privacy Policy, any order form, any applicable policy, or applicable law.

26. Suspension and Removal of Access

Longbeard may suspend, limit, or terminate access to the Institutional Services if:

An Institutional Customer, Institutional Administrator, or Authorized User violates the Terms, this Addendum, an order form, a Data Processing Addendum, applicable policy, or applicable law;
Continued access creates a security, legal, privacy, safeguarding, reputational, operational, financial, or technical risk;
Fees remain unpaid;
An Institutional Customer requests removal of an Authorized User;
Longbeard reasonably believes that unauthorized access, misuse, abuse, or credential compromise has occurred;
Suspension is necessary to protect Longbeard, users, Institutional Customers, third parties, or the Institutional Services;
The relevant Institutional Customer no longer has an active subscription, pilot, order form, or agreement; or
Longbeard is required or reasonably advised to do so by law, regulator, court order, payment provider, hosting provider, or other competent authority.

Where reasonable and legally permissible, Longbeard will attempt to provide notice of suspension or termination.

27. Customer Decisions and Institutional Responsibility

The Institutional Services may support institutional planning, Catholic strategy, parish reporting, financial understanding, engagement analysis, ministry management, and administrative workflows.

However, Institutional Customers remain solely responsible for all institutional decisions, approvals, communications, Catholic actions, financial decisions, safeguarding actions, staffing decisions, canonical processes, legal compliance, and external reporting.

Longbeard does not control and is not responsible for how Institutional Customers interpret, approve, publish, act on, or communicate outputs, dashboards, reports, summaries, recommendations, analytics, maps, directories, or exports.

28. Disclaimers

The Institutional Services are provided subject to the disclaimers in the Terms.

Without limiting those disclaimers, Longbeard does not warrant that:

Dashboards, reports, analytics, maps, boundaries, directories, summaries, recommendations, or outputs will be accurate, complete, current, uninterrupted, error-free, secure, or suitable for any particular purpose;
AI-generated outputs will be correct, reliable, unbiased, complete, or appropriate;
Institutional Data submitted by an Institutional Customer or Authorized User is accurate, lawful, complete, current, or authorized;
The Institutional Services will satisfy any canonical, civil, financial, safeguarding, employment, Catholic, tax, audit, regulatory, diocesan, parish, ministry, or reporting obligation;
Any report, insight, or output will replace professional judgment, internal review, institutional approval, audit, legal advice, safeguarding review, financial review, canonical process, or Catholic discernment;
Maps, boundaries, or geographic data will constitute official legal, civil, canonical, property, tax, or jurisdictional determinations;
Document Q&A, summaries, or searches will identify every relevant document, fact, issue, or obligation; or
The Institutional Services will be available at all times or free from errors, bugs, interruptions, security incidents, or data loss.

Institutional Customers and Authorized Users use the Institutional Services at their own risk and remain responsible for independent review and verification.

29. Limitation of Liability

The limitations of liability in the Terms apply to this Addendum and the Institutional Services.

To the fullest extent permitted by applicable law, Longbeard will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, loss of use, business interruption, reputational harm, Catholic harm, institutional harm, or institutional decision-making based on outputs, reports, analytics, maps, directories, summaries, recommendations, or other materials generated through or made available by the Institutional Services.

To the fullest extent permitted by applicable law, Longbeard will not be liable for claims arising from:

Inaccurate, incomplete, or misleading Institutional Data;
Configuration of permissions by an Institutional Customer;
Unauthorized access caused by an Institutional Customer or Authorized User;
Exported, downloaded, copied, or shared materials;
Reliance on AI-generated outputs;
Third-party services or third-party AI providers;
Failure by an Institutional Customer to obtain required rights, consents, notices, permissions, or legal bases;
Use of the Institutional Services contrary to this Addendum;
Safeguarding, legal, Catholic, financial, employment, canonical, or institutional decisions made by an Institutional Customer; or
Data uploaded, connected, or processed by or on behalf of an Institutional Customer.

30. Indemnification

The indemnification obligations in the Terms apply to this Addendum and the Institutional Services.

Without limiting those obligations, the Institutional Customer will defend, indemnify, and hold harmless Longbeard, its affiliates, officers, directors, employees, contractors, representatives, and agents from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

Institutional Data submitted, uploaded, connected, processed, displayed, or made available by or on behalf of the Institutional Customer;
The Institutional Customer’s use of the Institutional Services;
Use of the Institutional Services by its Institutional Administrators or Authorized Users;
Breach of this Addendum, the Terms, an order form, a Data Processing Addendum, applicable policy, or applicable law;
Failure to obtain required rights, permissions, notices, consents, or legal bases;
Configuration of permissions or role-based access;
Exports, downloads, screenshots, copies, publications, or onward disclosures by the Institutional Customer or Authorized Users;
Reliance on AI-generated outputs, reports, analytics, maps, directories, summaries, or recommendations;
Violation of any third-party rights;
Violation of privacy, employment, safeguarding, confidentiality, canonical, ecclesial, financial, tax, or regulatory obligations; or
Decisions, actions, omissions, or communications by the Institutional Customer based on or relating to the Institutional Services.

31. Confidentiality

Institutional Data may include confidential information of the Institutional Customer. Longbeard will use reasonable measures to protect confidential Institutional Data and will use it only as permitted by the Terms, this Addendum, the Privacy Policy, any applicable written agreement, and applicable law.

The Institutional Customer is responsible for ensuring that its Institutional Administrators and Authorized Users maintain the confidentiality of information accessed through the Institutional Services.

The Institutional Customer must not use the Institutional Services to disclose confidential information to users who are not authorized to receive it.

32. Feedback

If an Institutional Customer, Institutional Administrator, or Authorized User provides feedback, suggestions, ideas, feature requests, comments, error reports, or recommendations regarding the Institutional Services, Longbeard may use them without restriction or compensation, provided Longbeard does not disclose confidential Institutional Data in doing so.

33. Publicity and References

Longbeard may identify the Institutional Customer as a customer, user, partner, or participant in the Institutional Services in Longbeard’s websites, marketing materials, investor materials, public presentations, sales materials, customer lists, case studies, press materials, and other promotional or business communications.

This permission includes the right to use the Institutional Customer’s name, trade name, logo, publicly available description, and general description of its use of the Institutional Services for marketing, investor relations, customer reference, business development, and promotional purposes.

Longbeard will not, without the Institutional Customer’s prior written consent, publicly disclose the Institutional Customer’s confidential information, non-public Institutional Data, private reports, private documents, non-public usage data, or identifiable personal information of Authorized Users in connection with such publicity.

The Institutional Customer may request that Longbeard cease future public use of its name or logo by providing written notice. Longbeard will use commercially reasonable efforts to remove such references from future materials within a reasonable period, but will not be required to recall, remove, or modify materials already published, distributed, archived, submitted to investors, or otherwise used before receipt of the request. 34. Order Forms and Written Agreements

Institutional Services may be subject to an order form, statement of work, subscription agreement, pilot agreement, data processing addendum, security exhibit, or other written agreement.

Order forms may specify:

Subscription term;
Pricing;
Number of users;
Customer entity;
Service scope;
Implementation support;
Data sources;
Integrations;
Retention terms;
Security commitments;
Support levels;
Special restrictions;
Data processing terms; and
Termination or renewal terms.

If there is a conflict between this Addendum and a signed written agreement between Longbeard and the Institutional Customer, the signed written agreement will control to the extent of the conflict.

35. Changes to this Addendum

Longbeard may modify this Addendum from time to time by posting an updated version online or by providing notice through the Platform or other reasonable means.

Continued use of the Institutional Services after the effective date of an updated Addendum constitutes acceptance of the updated Addendum, unless otherwise required by applicable law or agreed in writing.

If an Institutional Customer does not agree to an updated Addendum, it must stop using the Institutional Services.
