API Terms of Service

These Terms govern your use of the Magisterium AI API (hereafter referred to as the 'API'), made available by Longbeard Creative Inc. ('we', 'us', or 'our'). If you access or use the API or integrate it into your own products or services, you agree to be bound by these Terms. If you do not agree, do not use the API.

1. Definitions

1.1. API: The Magisterium AI application programming interface, including all associated documentation, code, models, tools, and services provided for integration with third-party applications.

1.2. API Key: The unique credential issued to you to access the API.

1.3. Customer Data / Input: Content, prompts, or data submitted by you to the API.

1.4. Output: Content returned to you by the API based on your Input.

1.5. Content: Collectively refers to Input and Output.

1.6. API Content: Content submitted through or received from the API.

1.7. Platform: Any associated Magisterium AI web-based or mobile interface, services, or applications other than the API.

2. API Access & Account Registration

2.1. API Credentials: To access the API, you must register for an account and obtain an API Key. You are responsible for maintaining the confidentiality and security of your API Key and all activities under it.

2.2. Restrictions:

  • 2.2.1. You may not:
    • 2.2.1.1. Share, sublicense, transfer, or sell your API Key without our prior written consent.
    • 2.2.1.2. Create more than one free account per person or entity.
    • 2.2.1.3. Circumvent or disable any access or use restrictions in the API.

2.3. Security Responsibilities: You are solely responsible for implementing reasonable security measures when using or embedding our API in your systems, particularly where user data or personal information is involved.

3. Subscription Plans and Pricing

3.1. Pricing Tiers: Access to the API is subject to applicable subscription fees, based on your selected usage plan.

3.2. Current Plans: For detailed information on available plans, features, and current pricing, please refer to our Pricing Page. We reserve the right to modify pricing or plan features at any time by updating this page.

3.3. Billing and Payment: All payments are processed through our third-party provider (currently Stripe) and billed in accordance with your selected plan.

3.4. Taxes: You are responsible for any applicable taxes based on the billing information you provide.

3.5. Failure to Pay: Failure to pay applicable fees may result in the suspension or termination of your access to the API.

4. Use of the Platform

4.1. License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the API in accordance with these Terms and any documentation we provide.

4.2. Permitted Use: You may use the API to integrate Magisterium AI functionality into your products or internal tools. You are responsible for your use of the API and all Content generated through it.

4.3. Prohibited Use

  • 4.3.1. You may not:
    • 4.3.1.1. Use the API to develop competing AI or language models;
    • 4.3.1.2. Reverse engineer, decompile, or attempt to extract source code from the API or models;
    • 4.3.1.3. Scrape, harvest, or extract data except as permitted via the API;
    • 4.3.1.4. Use the API to generate disinformation, harmful content, or violate any law;
    • 4.3.1.5. Represent API Output as human-generated without disclosure;
    • 4.3.1.6. Interfere with the normal functioning of the API or other users' access;
    • 4.3.1.7. Use the API in embargoed countries or by individuals on sanction lists;
    • 4.3.1.8. Resell or white-label the API without our prior written consent.

4.3.2. Misrepresentation of Outputs: You may not alter, edit, or transform Output in a way that materially changes its meaning, theological content, or factual integrity and present the altered content as if it were original Output generated by Magisterium AI.

4.3.3. You may not attribute errors, hallucinations, or incorrect information to Magisterium AI arising from modifications made by you or your systems.

4.3.4. Any use of altered Output must clearly and prominently disclose that the content has been modified.

4.4. Rate Limits and Monitoring: You must comply with all rate limits, usage thresholds, or quotas described in our documentation or communicated to you in writing. We reserve the right to monitor your usage and may throttle, suspend, or revoke your API access if you exceed permitted limits or if your usage negatively impacts the API's performance or reliability.

4.5. Attribution and Branding: You may not use our name, logo, or any trademarks without our prior written consent. If we grant you permission to display attribution (e.g. 'Powered by Magisterium AI'), you must follow our brand guidelines and usage instructions. We reserve the right to revoke this permission at any time.

4.6. Catholic Fidelity & Integrity of Content: You may not use the API in a manner that misrepresents, distorts, or manipulates theological content in a way that attributes the distortion to Magisterium AI. Use of the API to falsely represent doctrinal statements, moral teachings, or ecclesial positions constitutes a breach of these Terms.

5. Content Ownership and Use

5.1. Ownership: As between you and us, you retain all rights in your Input. Subject to your compliance with these Terms, we assign to you all rights in the Output.

5.2. Similarity: Due to the nature of AI, Outputs may not be unique and may be similar or identical to content generated for others. Such content is not considered your proprietary information.

5.3. Use of API Content: We do not use your API Content to train our models. However, we may use Non-API Content (e.g. input through the web interface) to improve services, unless you opt out.

5.4. Responsibility for Content: You are solely responsible for your Content. You must ensure it does not violate any laws or rights. You are responsible for independently verifying the accuracy and appropriateness of Output.

6. Privacy & Data Protection

6.1. Our Privacy Policy, available on our website, explains how we collect, use, and disclose your personal information and data. By using the Platform, you consent to our data and privacy practices as described in the Privacy Policy.

6.2. Data Ownership: You retain full ownership of Customer Data. We only use it as needed to provide services.

6.3. Encryption: We implement industry-standard encryption (in transit and at rest) and conduct regular audits to protect Customer Data.

6.4. Sensitive Data: Do not use the API to process or transmit any sensitive personal data unless you have all necessary rights and safeguards in place.

7. Modifications and Deprecation

7.1. We reserve the right to modify or discontinue the API or any part thereof at any time, with reasonable notice. We are not liable for the resulting loss of functionality, data, or revenue. However, we will not discontinue API access for individual customers except as described in Section 8.2.

8. Termination

8.1. You may terminate your use of the API at any time by ceasing use and deleting your account.

8.2. We may suspend or terminate your API access only for the following reasons:

  • 8.2.1. Violation of these Terms, including prohibited uses listed in Section 4.3;
  • 8.2.2. Misrepresentation of Outputs, as described in Section 4.3.2;
  • 8.2.3. Security risks, including compromised API keys or attacks on our infrastructure;
  • 8.2.4. Fraud, illegal activity, or use of the API in violation of applicable law;
  • 8.2.5. Non-payment of applicable fees under Section 3;
  • 8.2.6. If we discontinue the API for all customers.

8.3. We will not terminate API access for arbitrary, competitive, or subjective reasons. Any suspension or termination will occur only in conformity with these Terms.

9. Disclaimers

9.1. The API is provided 'as is' and 'as available', without warranty of any kind. We do not guarantee that the API will be uninterrupted, accurate, or error-free.

10. Limitation of Liability

10.1. To the fullest extent permitted by applicable law, Magisterium AI, Longbeard Creative Inc, and our affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or other intangible losses, whether incurred directly or indirectly. This includes, without limitation, losses arising from:

  • 10.1.1. your access to or use of, or inability to access or use, the API;
  • 10.1.2. any unauthorized access to or use of our servers or any personal information stored therein;
  • 10.1.3. any interruption or cessation of access to the API; or
  • 10.1.4. any bugs, viruses, or other harmful code transmitted through or from the API.

10.2. These limitations apply regardless of whether we have been advised of the possibility of such damages, and will be enforced to the maximum extent permitted by law.

11. Indemnity

11.1. You agree to indemnify and hold harmless Magisterium AI, its affiliates, and personnel from any claims, damages, liabilities, and costs (including legal fees) arising from your use of the API, your Content, or your breach of these Terms.

12. Export Compliance

12.1. You may not use the API in violation of export control laws or sanctions. You represent and warrant that you are not located in or a citizen of a restricted country and are not on any government prohibited list.

13. Dispute Resolution & Applicable Law

13.1. Informal Resolution: You agree to attempt to resolve any dispute informally by contacting us at info@magisterium.com. We'll attempt to resolve it within 30 days.

13.2. Binding Arbitration: Unresolved disputes will be settled by binding arbitration under the laws of Ontario, Canada. The arbitration proceedings shall be administered by an arbitration service mutually agreed upon by the Parties. The arbitration will occur in Ontario in English. In the absence of such mutual agreement within 14 days from the initiation of arbitration, the arbitration service shall be selected and administered by the Ontario Superior Court of Justice.

13.3. Confidentiality: All arbitration proceedings and related documents will be confidential, unless disclosure is required by law.

14. Changes to Terms

14.1. We may update these Terms from time to time. We will notify you of material changes via the website or email. Your continued use of the API after changes become effective constitutes your acceptance.
